1Who we are
PAYSCAN is a product of Trainup Technologies Ltd (RC 7892969), a company registered in Lagos, Nigeria ("PAYSCAN", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the PAYSCAN website, mobile-friendly web app, QR codes, payment pages, and related services (collectively, the "Service").
By creating a PAYSCAN account, generating a QR code, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
2What PAYSCAN does — and does not do
PAYSCAN helps Nigerian sellers collect payments faster by generating a QR code that, when scanned, displays the seller's verified bank account details on a branded payment page ("Scan to Copy"). The buyer copies the account number and completes the transfer directly from their own bank app.
Important: in this phase of the Service, PAYSCAN does not receive, hold, process, or have custody of any funds at any point. Money moves directly between the buyer's bank and the seller's bank account. PAYSCAN is not a bank, payment service provider, deposit-taking institution, or licensed payment processor, and nothing in the Service should be understood as such. A future phase ("Scan to Pay", NQR-compliant) may route payments through a licensed bank acquiring partner; if and when that phase launches, updated terms specific to that functionality will apply and will require your separate acceptance.
3Eligibility and account registration
- You must be at least 18 years old and able to form a binding contract under Nigerian law.
- You must provide accurate, current information — including your business name, phone number, email address, and bank account details — and keep it up to date.
- You are responsible for safeguarding your password and OTP codes, and for all activity that occurs under your account. Notify us immediately at support@payscan.ng if you suspect unauthorised access.
- One account per business. Creating multiple accounts to circumvent plan limits or suspensions is a violation of these Terms.
4Bank account details and payment accuracy
You are solely responsible for the accuracy of the bank account information you add to your PAYSCAN profile. We use licensed third-party account-resolution services to verify that an account number matches a stated account name before it can be displayed on your payment page, but this verification does not make PAYSCAN a party to, or guarantor of, any transfer between you and your customers.
Changing your primary bank account triggers a 24-hour security hold during which QR payment collection is paused, to protect you and your customers from fraud.
5Plans, pricing and billing
PAYSCAN offers a free plan ("Spark") and one or more paid plans (currently "Grow" at ₦3,500/month). Paid plan prices, features and limits are described on payscan.ng/pricing and may change from time to time; we will give you reasonable notice of any price increase that affects an active subscription.
- Paid subscriptions are billed monthly in advance via our licensed payment partner, and renew automatically until cancelled.
- You can cancel at any time from Settings → Billing. You will keep paid-plan access until the end of your current billing period; no partial refunds are issued for unused time, except where required by law.
- If a renewal payment fails, we will notify you and may downgrade your account to Spark after a grace period.
- PAYSCAN does not charge transaction fees on the payments you collect. Your customers' banks may apply their own standard transfer charges, which are outside our control.
6Acceptable use
You agree not to use the Service to:
- Collect payment for illegal goods or services, or to facilitate fraud, money laundering, or any deceptive scheme;
- Impersonate another person or business, or misrepresent your affiliation with any entity;
- Upload bank details that do not belong to you or that you are not authorised to use;
- Interfere with, disrupt, reverse-engineer, or probe the security of the Service;
- Send unsolicited bulk messages using PAYSCAN-generated links, receipts, or referral tools.
We may investigate suspected violations and take action — including warning, suspending, or permanently closing an account, and reporting to relevant authorities where required — without prior notice where we reasonably believe it is necessary to protect users, PAYSCAN, or the public.
7Disputes between you and your customers
Because PAYSCAN does not hold or move funds in this phase, any dispute about a payment (e.g. a customer claiming non-delivery, or a seller claiming non-payment) is between you and your customer, and ultimately a matter for your respective banks. PAYSCAN will provide reasonable assistance — for example, sharing transaction metadata associated with your account — but cannot reverse, freeze, or guarantee any bank transfer.
8Intellectual property
The PAYSCAN name, logo, "Scan. Pay. Done." mark, and the look and feel of the Service are owned by Trainup Technologies Ltd. Your business name, logo, and content remain yours; by using the Service you grant us a limited licence to display them on your payment page, receipts, and QR materials solely to provide the Service to you.
9Suspension and termination
You may close your account at any time by contacting support@payscan.ng. We may suspend or terminate your access if you breach these Terms, if required by law or a competent authority, or if we reasonably suspect fraud or risk to other users. Where practicable, we will tell you why and how to appeal.
10Disclaimers and limitation of liability
The Service is provided "as is" and "as available". To the fullest extent permitted by Nigerian law, PAYSCAN disclaims all warranties, express or implied, and will not be liable for indirect, incidental, or consequential damages, or for any loss arising from a bank transfer, network outage, or third-party service (including SMS, email, and account-resolution providers) outside our reasonable control. Nothing in these Terms limits liability that cannot be limited under applicable law.
11Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or in-app notice before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
12Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
